HangzhouHirisunTechnologyIncorporated(hereinafterreferredtoas"Hirisun")intendstoabsorbandmergeHangzhouTurbinePowerGroupCo.,Ltd.(hereinafterreferredtoas"thistransaction"or"thisshare-exchangemerger")throughtheissuanceofA-sharestoallshareholdersof Hangzhou Turbine Power Group Co., Ltd. (hereinafter referred to as "HTC" or "theCompany"). ThistransactionhasobtainedtheApprovalbytheChinaSecuritiesRegulatoryCommissiononthemergerofHangzhouTurbinePowerGroupCo.,Ltd.byHangzhouHirisunTechnologyIncorporated(No.2141[2025]CSRCApproval),andtheCompanywillhandletherelevantmattersofthistransactionassoonaspossible. ThistransactionwillresultintheCompanynolongerhavingindependentlegalstatusandbeingderegistered,whichfallsunderthesituationdescribedinArticle9.7.1,Paragraph1,Item(4)ofthe'ShenzhenStockExchangeListingRules(2025Revision)'(hereinafterreferredtoasthe'ListingRules'),where‘acompanyceasestohaveindependentlegalstatusandisderegisteredduetoanewestablishmentmergerorabsorptionmerger,'makingitpossibletoapplytotheShenzhenStockExchange(hereinafterreferredtoas'SZSE')forvoluntarydelisting.Accordingtotheprovisionsoncashoptioninthe'ListingRules'andthe'ShenzhenStockExchange Listed Company Self-Regulatory Guidelines No. 1 - Business Handling (2025Revision)',theCompanywillsuspendtradingfromtheopeningofthetradingdayfollowingtherecorddateforcashoption(thelasttradingdayforBshares). Afterthecompletionofthecashoptionexercise,HTCwillapplytotheShenzhenStockExchangeforthevoluntarydelistingofitsshares.TheShenzhenStockExchange,inaccordancewiththe'ListingRules'andotherrelevantbusinessrules,willmakeadecisiononwhethertoacceptthedelistingapplicationwithinfivetradingdaysafterreceivingtheCompany'ssubmissionandnotifytheCompany,andwillmakeadecisiononwhethertodelisttheCompany'sshareswithinfifteentradingdaysafteracceptance.
